The Covenant (Acceptance)

The Deal

By using our services, you agree to act professionally. We build engines for growth, not platforms for malice.

We do not deal in ambiguity. These terms apply to all digital properties, codebases, and infrastructures managed by our architects. Accessing our network constitutes a digital signature of this agreement.

Service Authority (SLA)

We strive for 100% precision. However, digital ecosystems are dynamic. We guarantee that the code we ship is clean, audited, and secure at the time of deployment.

Liability & Limits (Risk)

Reality Check

We build the ship to withhold the storm, but we do not control the ocean. We are not liable for force majeure events.

Simha Infobiz is not liable for downstream ISP failures, DDoS attacks exceeding mitigation caps, or unauthorized third-party interventions on your infrastructure credentials.

The Treasury (Payment)

Invoices are precision instruments, not suggestions. Standard terms are Net-15 unless otherwise architected in your SOW.

  • Late fees accrue at 1.5% monthly after a 5-day grace period.
  • Services may be paused if invoices remain unpaid for 30+ days.

Intellectual Property (Ownership)

Custom Code

Upon full payment, you own the specific application code we write for you. It is your asset.

Our Tools

Simha Infobiz retains ownership of our pre-existing libraries, deployment scripts, and internal tools used to build your product. You get a perpetual license to use them.

The Exit Protocol (Termination)

Either party may terminate the engagement with 30 days written notice.

Immediate Termination

We reserve the right to sever connections immediately if we detect malicious activity, abuse of staff, or illegal usage of our infrastructure.
